Please read these Terms and Conditions ("Terms") carefully before using www.stroudsafety.com (the "Site") or purchasing any products from Stroud Safety, a division of Plantation Investments LLC ("Stroud Safety," "we," "us," or "our"). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or purchase our products.
1. Use of the Site
You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable federal, state, local, or international law or regulation
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems or networks connected to the Site
- Use any automated device, software, or process to access, scrape, or index the Site or its content
- Introduce viruses, malware, or other harmful material to the Site
- Interfere with the proper working of the Site
We reserve the right to terminate or restrict your access to the Site at our sole discretion, without notice, for any conduct that we determine violates these Terms or is harmful to us, other users, or third parties.
2. Account Registration
You may be required to create an account to access certain features of the Site or to place an order. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to update your information as needed. You must notify us immediately of any unauthorized use of your account.
3. Products and Orders
3.1 Product Descriptions
We make reasonable efforts to accurately describe and display our products on the Site, including specifications, images, and pricing. However, we do not guarantee that product descriptions, images, colors, or other content on the Site are entirely accurate, complete, or error-free. If a product you receive differs materially from its description on the Site, your sole remedy is to return the item in accordance with our Return Policy (Section 5).
3.2 Pricing
All prices are listed in U.S. dollars unless otherwise noted. We reserve the right to change prices at any time without prior notice. In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price and will notify you if this occurs. Applicable taxes and shipping charges will be added at checkout.
3.3 Order Acceptance
Placing an order through the Site constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including product availability, suspected fraud, or errors in pricing or product information. An order is not considered accepted until we have processed payment and shipped the product. We will notify you by email if your order is declined or canceled.
3.4 Custom and Special Orders
Certain products may be manufactured, assembled, or configured to your specifications ("Custom Orders"). Custom Orders are non-cancelable once production has begun and are not eligible for return or refund except as required by applicable law. Please review all specifications carefully before placing a Custom Order.
4. Shipping
4.1 Domestic Shipping
We ship to addresses within the United States. Shipping methods, estimated delivery times, and costs are presented at checkout. Delivery dates are estimates and are not guaranteed. Risk of loss and title to products pass to you upon delivery to the carrier.
4.2 International Shipping
We also ship to select international destinations. International orders may be subject to import duties, taxes, and customs fees imposed by the destination country. These charges are the sole responsibility of the buyer and are not included in our product prices or shipping fees. We are not responsible for delays caused by customs processing.
4.3 Shipping Damage
Please inspect all packages upon delivery. If your order arrives damaged, please contact us within 48 hours of delivery at products@stroudsafety.com with photographs of the damage and packaging. We will work with the carrier to resolve the issue.
5. Returns and Refunds
5.1 Standard (Stock) Items
Stock items in new, unused, and resalable condition may be returned within 30 days of delivery, subject to the following requirements. No returns will be accepted without a Return Merchandise Authorization number (RMA). To obtain an RMA, please contact us at products@stroudsafety.com before shipping the item back. Any items returned without a valid RMA will be refused. Returned items must be in their original packaging. Some returns may be subject to a 15% restocking fee, which will be deducted from your refund. Shipping costs for returns are the responsibility of the buyer unless the return is due to our error. Refunds will be issued to the original payment method within a reasonable timeframe after we receive and inspect the returned item.
5.2 Custom and Special-Order Items
CUSTOM AND SPECIAL-ORDER ITEMS ARE NOT ELIGIBLE FOR RETURN OR REFUND.
Because these products are manufactured or configured to your specifications, they cannot be returned, exchanged, or refunded except in cases where the product is defective or does not conform to the agreed-upon specifications. If you believe a custom product is defective, please contact us within 14 days of delivery.
5.3 Defective Products
If you receive a product that is defective or materially different from what was ordered, please contact us within 14 days of delivery. We will, at our option, repair the product, replace it, or issue a refund.
6. Warranty Disclaimer
STROUD SAFETY DOES NOT OFFER ANY EXPRESS WARRANTY ON ITS PRODUCTS UNLESS SPECIFICALLY STATED IN WRITING FOR A PARTICULAR PRODUCT.
To the fullest extent permitted by applicable law, all products sold through this Site are provided "as is" and "as available" without any warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
7. Important Safety Notice
STROUD SAFETY PRODUCTS ARE DESIGNED FOR USE IN HIGH-RISK MOTORSPORT, INDUSTRIAL, AND SAFETY APPLICATIONS. PROPER INSTALLATION, USE, INSPECTION, AND MAINTENANCE OF ALL PRODUCTS ARE ESSENTIAL AND ARE THE SOLE RESPONSIBILITY OF THE BUYER AND/OR END USER.
You acknowledge and agree that:
- All Stroud Safety products must be installed, used, and maintained in accordance with industry standards
- Safety equipment has a limited service life and must be regularly inspected and replaced in accordance with applicable sanctioning body rules, SFI Foundation recertification requirements, and manufacturer guidelines
- Failure to properly install, use, inspect, or maintain any product may result in product failure, which could lead to serious injury or death
- The buyer and/or end user is solely responsible for determining the suitability of any product for its intended application
- Stroud Safety products are not a guarantee against injury or death in any application

8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STROUD SAFETY, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, YOUR PURCHASE OR USE OF ANY PRODUCT, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF STROUD SAFETY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL STROUD SAFETY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF ANY PRODUCT EXCEED THE AMOUNT YOU PAID TO STROUD SAFETY FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the greatest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Stroud Safety, Plantation Investments LLC, and their respective owners, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Site or any product purchased through the Site
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any claim by a third party related to your use or misuse of a product
10. Intellectual Property
All content on the Site, including but not limited to text, images, graphics, logos, trademarks, product designs, and software, is the property of Stroud Safety or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, display, or create derivative works from any content on the Site without our prior written consent.
The Stroud Safety name, logo, and all related product names, trademarks, and trade dress are the property of Plantation Investments LLC and may not be used without our written permission.
11. User Content
If you submit any content to the Site (such as product reviews, comments, or photographs), you grant Stroud Safety a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, display, and distribute that content in connection with our business. You represent that you own or have the necessary rights to submit such content and that it does not violate any third-party rights.
12. Third-Party Links
The Site may contain links to third-party websites or services that are not owned or controlled by Stroud Safety. We are not responsible for the content, privacy policies, or practices of any third-party websites. You access third-party websites at your own risk.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or any product shall be resolved exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the personal jurisdiction of such courts.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Stroud Safety regarding your use of the Site and purchase of products. These Terms supersede any prior agreements, communications, or understandings, whether written or oral.
16. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be effective when posted to the Site. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
